Enterprise Software Contract Negotiation and Procurement Risk Management
Enterprise software, support, and service contracts establish rights and obligations that govern a company’s mission-critical enterprise software systems. Contractual due diligence is necessary given:
· Vendor-drafted standard forms offer insufficient protections and excessive exposure
· A need to minimize the total cost of ownership of significant IT investments
· A need to secure rights for the duration of a long-term ownership lifecycle
· The criticality of incentivizing successful project delivery
· The importance of protecting mission-critical data and transactional processing
· The relative immaturity of standard form contracts for cloud computing and SaaS software
This workshop will provide legal, procurement, finance, and IT professionals the tools they need to negotiate drive successful contract negotiations that position their company to realize long-term software value. In addition, the workshop will contain a dedicated session on effectively negotiating SaaS (software-as-a-Service) and cloud contracts, under which business-critical data and processing are outsourced to a third-party.
